Terms of Service
These Terms govern your access to and use of WebsyChat (the “Service”). By creating an account, starting a free trial, or using the Service, you agree to these Terms.
1. Who we are
The Service is operated by WebsyLime LLC (websylime.com). WebsyChat is a WebsyLime product: a multi-tenant SaaS platform that lets subscribers (“Clients”) create website chatbots, manage knowledge bases, embed widgets, and review conversations, leads, and analytics. Contact: legal@websychat.com.
2. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- You are responsible for account credentials and all activity under your account.
- Organization accounts may include team members. The Client organization remains responsible for its users’ compliance with these Terms.
- We may suspend or terminate accounts that violate these Terms, our Acceptable Use Policy, or applicable law.
3. The Service
The Service includes dashboard tools, AI-assisted answers based on content you provide, embeddable chat widgets, optional human takeover, and related features described in your plan. Features may change as we improve the product. We do not guarantee uninterrupted or error-free operation.
AI outputs can be incomplete or incorrect. You are responsible for reviewing material answers, especially pricing, legal, medical, or financial statements shown to your visitors.
4. Free trial (7 days)
New qualifying accounts may receive a 7-day free trial of a selected plan. During the trial you may use the Service under these Terms and your plan limits.
- If you like the Service: do nothing to cancel — after the trial ends, your chosen paid plan starts automatically and billing begins.
- If you do not want to continue: you must cancel before the 7-day trial ends from your billing settings (or by contacting support in time for us to process cancellation before trial end).
- Failure to cancel in time means you authorize us (and our payment processor) to charge the then-current plan fees on a recurring basis.
Full commercial details are in our Trial, Billing & No-Refund Policy.
5. Fees, renewals, and no refunds
- Paid plans renew automatically until canceled.
- There is no return policy and no refunds for subscription fees, including after the trial converts to a paid plan, for unused time, or for dissatisfaction, except where mandatory consumer law requires otherwise.
- Taxes may apply based on your location and will be added where required.
- We may change prices with notice; changes apply to subsequent billing periods.
6. Your content and licenses
You retain ownership of content you upload (website crawls, documents, FAQs, chat data you control, branding). You grant WebsyChat a worldwide, non-exclusive license to host, process, transmit, and display that content solely to provide and improve the Service (including embeddings and model inference).
You represent that you have all rights needed to use that content and that it does not infringe others’ rights or violate law.
7. Visitor data and your compliance
When you embed the widget on your sites, you are the controller (or equivalent) of visitor chat and lead data. You must provide any required notices and obtain consents under GDPR, UK GDPR, ePrivacy, CCPA/CPRA, and similar laws. Our role as processor for that visitor data is described in the Privacy Policy.
8. Acceptable use
You must follow the Acceptable Use Policy. We may rate-limit, disable embeds, suspend users, or terminate accounts to protect the platform from abuse, fraud, or security threats.
9. Intellectual property
The Service, software, branding, and documentation are owned by WebsyChat and its licensors. Except for the limited rights to use the Service under your subscription, no IP rights are transferred to you.
10. Third-party services
The Service may rely on processors such as hosting, databases, email, analytics, payment (e.g. Stripe), and AI providers. Their use of data is governed by their terms and our Privacy Policy.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI RESPONSES WILL BE ACCURATE OR THAT THE SERVICE WILL MEET YOUR BUSINESS RESULTS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEBSYCHAT AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE FEES YOU PAID TO US FOR THE SERVICE IN THAT PERIOD (OR USD $100 IF YOU ARE ON A FREE TRIAL AND HAVE PAID NOTHING).
13. Indemnity
You will defend and indemnify WebsyChat against claims arising from your content, your sites, your visitors’ use of your embed, your violation of law or these Terms, or disputes between you and your end users.
14. Suspension and termination
You may cancel under the billing policy. We may suspend or terminate for non-payment, abuse, legal risk, or material breach. Upon termination, your right to use the Service ends; we may delete data after a reasonable retention period unless law requires longer retention.
15. Changes
We may update these Terms by posting a revised version with a new effective date. Continued use after the effective date constitutes acceptance, except where additional consent is required by law.
16. Governing law
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules. Courts in that jurisdiction have exclusive venue, except that either party may seek injunctive relief in any competent court. If you are a consumer in the EEA/UK with mandatory local protections, those protections still apply.
